(5) If the financing payments are in the form of commercial product or commercial service financing payments, the terms of the subcontract or interdivisional order concerning payments- (i) Are constructed in accordance with FAR 32.206(c) and included in a subcontract for a commercial product or commercial service purchase that meets the definition and standards for acquisition of commercial products and commercial services in FAR parts 2 and 12; (ii) Are in conformance with the requirements of FAR 32.504(g); and (iii) Subordinate all subcontractor rights concerning property to which the Government has title under the subcontract to the Government's right to require delivery of the property to the Government if- (A) The Contractor defaults; or (B) The subcontractor becomes bankrupt or insolvent. (6) If financing is in the form of progress payments, the progress payment rate in the subcontract is the customary rate used by the contracting agency, depending on whether the subcontractor is or is not a small business concern. (7) Concerning any proceeds received by the Government for property to which title has vested in the Government under the subcontract terms, the parties agree that the proceeds shall be applied to reducing any unliquidated financing payments by the Government to the Contractor under this contract. (8) If no unliquidated financing payments to the Contractor remain, but there are unliquidated financing payments that the Contractor has made to any subcontractor, the Contractor shall be subrogated to all the rights the Government obtained through the terms required by this clause to be in any subcontract, as if all such rights had been assigned and transferred to the Contractor. (9) To facilitate small business participation in subcontracting under this contract, the Contractor shall provide financing payments to small business concerns, in conformity with the standards for customary contract financing payments stated in FAR 32.113.

1. DESCRIPTION OF REQUIREMENT This is a Solicitation Synopsis issued by the Department of the Air Force, Air Force Nuclear Weapons Center (AFNWC/NIKM), Hill AFB, UT. This solicitation is for the production and delivery of flight test kit replenishment spares for the Flight Test, Telemetry, and Termination (FT3) Program. These kits directly support the Air Force Global Strike Command (AFGSC) Minuteman III (MMIII) Intercontinental Ballistic Missile (ICBM) Force Development Evaluation Operational Test Launch (OTL) Program. 2. SOLE-SOURCE JUSTIFICATION The Government intends to solicit and negotiate with only one source: The Boeing Company (CAGE: 0B0D7), located in Layton, UT, under the authority of 10 U.S.C. 3204(a)(1), as implemented by RFO 6.103-1 (Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements). Market research, including a Sources Sought Synopsis (FA8214-25S-FT3PD) and Pre-solicitation Notice (FA821426RB004-PRESOL), concluded that Boeing is the only source with the unique technical data, specialized engineering expertise, and established manufacturing infrastructure required to meet the Government's strict performance schedules. Award to any other source would result in an estimated minimum duplication of $80M in costs and an unacceptable delay of at least three (3) years. 3. PROGRAM SCOPE & REQUIREMENTS The resulting contract is anticipated to be a Firm-Fixed-Price (FFP) vehicle containing the following primary parameters: Quantity: Production and delivery of twenty-five (25) FT3 flight test kits. Delivery Schedule: Just-in-time delivery to Vandenberg Space Force Base, CA, precisely 120 days prior to scheduled Operational Test Launches (OTLs). Period of Performance: October 2027 through September 2035. Total Estimated Program Value: Approximately $955M (including potential future procurements executed under an approved Class J&A). 4. SUBMISSION INSTRUCTIONS & INTEREST This notice is not a request for competitive proposals, and a written solicitation will be issued directly to The Boeing Company. However, any responsible source that believes it can meet these requirements may submit a capability statement, proposal, or quotation, which shall be considered by the agency. Information received will be evaluated solely to determine whether to conduct a competitive procurement in the future. A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the Government.
